Affiliate Terms of Service

These Affiliate Terms of Service ("Affiliate Terms") govern participation in the Rapidemo affiliate program ("Program"), operated by Tim Konieczny, Unipessoal Lda, a Portuguese Sociedade Unipessoal por Quotas ("Company," "we," "us," or "our").

By applying to or participating in the Program, you ("Affiliate," "you") agree to be bound by these Affiliate Terms. If you disagree with any part of them, you may not participate in the Program.

1. The Program

1.1. Platform

The Program runs on Tolt, a third-party affiliate platform that handles tracking, reporting, and payouts. By signing up, you also agree to Tolt's Affiliate Payment Agent Terms . Where these Affiliate Terms and Tolt's terms overlap, the stricter rule applies to your conduct.

1.2. Relationship

You participate as an independent contractor. Nothing in these Affiliate Terms creates an employment, agency, partnership, or joint-venture relationship. You may not make any commitment or representation on our behalf.

2. Enrollment

2.1. Application

You apply through the affiliate portal and must provide accurate, complete information and keep it current.

2.2. Acceptance and Removal

We may accept or reject any application and remove any Affiliate from the Program at any time, at our sole discretion.

3. Commissions

3.1. Commission Rate

You earn 40% of each qualifying sale attributed to your link, calculated on the sale amount excluding taxes. Subscription sales pay a commission on the initial sale and on every renewal, for as long as the referred customer stays subscribed and you remain in the Program. Lifetime license sales pay a one-time commission.

3.2. Attribution

A sale qualifies if it is made within 60 days of a click on your affiliate link. If the customer clicked links from several Affiliates, the commission goes to the Affiliate whose link was clicked last before the sale.

3.3. Changes to Rates and Attribution

We may change commission rates, the attribution window, or other Program mechanics, with the notice period set out in Section 8. Changes apply prospectively and do not affect commissions already earned.

3.4. Reversals

If a sale is refunded, charged back, or found to be fraudulent or in breach of these Affiliate Terms, the associated commission is reversed. Reversed amounts already paid out may be deducted from future payouts.

4. Payouts

Payouts run on net-30 terms: commissions earned in a given month are paid out 30 days after the end of that month. Payouts require a minimum balance of €20; smaller balances roll over to the next payout. Payouts are processed in euros by Tolt, and you must satisfy Tolt's verification and payout-account requirements to receive them. You are responsible for all taxes on your commission income.

5. Promotion Rules

5.1. Disclosure

You must disclose your affiliate relationship wherever you promote Rapidemo, as required by the FTC's endorsement guides and any equivalent rules that apply to you.

5.2. Prohibited Conduct

You agree not to:

  • Self-refer: earn commissions on purchases made by you, on your behalf, or by a company you control.
  • Bid on our brand: bid on "Rapidemo" or its misspellings and variations in paid search, or use them in domain names, subdomains, social media handles, or app names.
  • Impersonate us: present yourself as Rapidemo or as acting on our behalf, or run ads that could be mistaken for official Rapidemo ads.
  • Pose as a coupon: publish your link on coupon or deal sites, or advertise discounts that do not exist.
  • Spam: distribute your link through unsolicited bulk email, messages, or comments.
  • Manipulate tracking: use cookie stuffing, forced clicks, hidden iframes, browser extensions that inject your link, or any other artificial traffic.
  • Mislead: make false claims about the Software, including describing the paid product as free. Describing the free trial as a free trial is fine.
  • Harm the brand: promote Rapidemo alongside illegal, hateful, or adult content.

5.3. Brand Assets

We grant you a revocable, non-exclusive license to use the materials on our brand assets page solely to promote Rapidemo under these Affiliate Terms. Do not modify the logo or other assets.

6. Term and Termination

Either party may end your participation at any time, and we may suspend or discontinue the Program itself. If your participation ends without a breach on your part, earned commissions are paid out on the next payout date; no new commissions accrue after the end date, including on renewals by customers you referred. If we terminate for a breach of these Affiliate Terms, unpaid commissions are forfeited, and commissions on sales obtained through the breach are never payable.

7. Disclaimer and Limitation of Liability

The Program is provided "AS IS" and "AS AVAILABLE," without warranty of any kind. To the maximum extent permitted by applicable law, our total liability to you under these Affiliate Terms is limited to the commissions earned but unpaid at the time the claim arises, and in no event shall the Company be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages.

8. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Affiliate Terms at any time. We will provide at least 30 days' notice before any new terms take effect. By continuing to participate in the Program after any revisions become effective, you agree to be bound by the revised terms.

9. Governing Law and Jurisdiction

These Affiliate Terms shall be governed and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Porto, Portugal to resolve any legal matter arising from these Affiliate Terms.

10. Entire Agreement

These Affiliate Terms, together with Tolt's Affiliate Payment Agent Terms and our Terms of Service and Privacy Policy, constitute the entire agreement between you and the Company concerning the Program. Questions go to tim@getrapidemo.com.
